Terms of Service

These Terms of Service ("Terms") govern access to and use of the StockGeniuses website, application, early-access program, and related research, analytical, portfolio, watchlist, signal, journaling, artificial-intelligence, and decision-support features (the "Service").

By creating an account, purchasing or using the Service, joining an early-access program, or accessing functionality that refers to these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

If you use the Service for an organization, you represent that you have authority to accept these Terms on its behalf. Additional terms presented for a plan, promotion, or integration govern that specific feature or transaction if they conflict with these Terms.

The Service is provided by StockGeniuses LLC, a Wyoming limited liability company registered in Sheridan, Wyoming, United States, doing business as StockGeniuses.

StockGeniuses LLC is not registered with the U.S. Securities and Exchange Commission as an investment adviser or broker-dealer and is not a member of FINRA. The Service is not intended to constitute "investment advice" under the Investment Advisers Act of 1940 or any analogous state law.

In these Terms, "StockGeniuses," "we," "us," and "our" refer to StockGeniuses LLC. Questions may be sent to info@stockgeniuses.com.

StockGeniuses is a stock-research and decision-support platform designed to help users research publicly traded companies, compare investing models, interpret financial and market information, organize watchlists and portfolios, monitor signals and changes, and preserve their own research and decision history.

The Service is strictly a research, analytical, and organizational tool. Nothing in the Service, including signals, model outputs, AI-generated explanations, portfolio visualizations, or comparative analyses, constitutes personalized investment advice, a recommendation to buy, sell, or hold any security, or a determination of suitability for any user. All use of the Service is subject to the StockGeniuses Disclaimer, which is incorporated by reference and forms an integral part of these Terms. If a product description conflicts with the Disclaimer, the Disclaimer controls.

Features depend on your plan, location, account status, product stage, provider coverage, and technical availability. We may establish reasonable limits relating to analyses, tickers, models, AI usage, portfolios, watchlists, signals, storage, history, automated access, and other resource-intensive features.

Current features and limits will be described on applicable pricing, checkout, account, or product pages. Planned, experimental, preview, or future functionality is not promised for release or retention in a particular form.

You must be at least 18 years old and legally capable of entering into a binding agreement.

You may not use the Service if law prohibits it; sanctions, export controls, or licensing restrictions prevent service; your access would cause a legal or contractual violation; or we previously terminated your account for a material violation and have not authorized your return.

The Service is not represented as appropriate, licensed, or legally available everywhere. We may restrict locations for legal, regulatory, licensing, provider, security, or operational reasons.

Provide accurate, current, and complete account information and keep it updated. You are responsible for protecting credentials, maintaining device security, and activity through your account.

Do not share, sell, rent, transfer, or sublicense your account; impersonate another person; use false identity information; access another person's account without permission; or bypass plan, usage, geographic, billing, or security restrictions.

By using the Service, you acknowledge that securities investing involves a substantial risk of loss; you remain responsible for evaluating the information presented and seeking qualified professional advice where appropriate; and any portfolio or position information you provide is accurate and lawfully obtained.

Notify info@stockgeniuses.com promptly if credentials may be compromised. We may require reasonable email, payment, identity, or account verification.

We may offer early-access, beta, pilot, trial, preview, or experimental features. They may be incomplete, inaccurate, interrupted, changed, withdrawn, reset test information, or never become generally available.

Do not rely on them for time-sensitive trading, regulatory compliance, official records, tax reporting, emergency risk management, or purposes requiring uninterrupted availability or verified accuracy.

Participation does not guarantee continued access, final-product access, permanent preview pricing, or indefinite retention. Price protection applies only when expressly stated in a written offer.

StockGeniuses may offer a 14-day Premium trial and recurring monthly or annual subscriptions. There is no permanent free subscription plan and no one-time, pay-per-analysis, or separately purchased credit product at launch.

Price, billing interval, included features, usage allowances, renewal terms, and promotions will be disclosed before purchase. Stripe or another disclosed provider processes payments. You authorize charges for the disclosed price, applicable taxes, and future automatic renewals until cancellation is effective.

Automatic renewal

Monthly and annual paid subscriptions automatically renew for successive periods equal to the original billing interval until cancelled. At renewal, you authorize us and Stripe to charge the then-applicable price and taxes to your saved payment method.

Checkout will disclose renewal, amount, frequency, and cancellation. If payment fails, we may retry, request updated information, restrict paid functionality, or suspend the subscription. We will not intentionally charge after cancellation is effective.

Premium trial

The 14-day Premium trial does not require a payment card and does not convert automatically into a paid subscription. When it ends, you must actively select and purchase a paid plan to continue paid functionality.

Eligibility may be limited to one trial per eligible user. Duration, allowances, and promotional conditions will be disclosed before enrollment.

Price and plan changes

We may change future prices, features, and limits. Existing subscribers will receive reasonable advance notice of a material price increase and may cancel before it takes effect. Additional consent will be requested where required.

Taxes

Prices may exclude taxes unless stated otherwise. Applicable taxes may be calculated and collected at checkout.

Subscription cancellation

Cancel from the in-app billing settings, which direct you to the Stripe customer portal for subscription and billing management. Cancellation stops future automatic renewals.

Unless otherwise stated or required by law, paid access continues through the paid billing period. Afterward, paid functionality is locked. You may still sign in to access account and billing controls, manage or delete the account, and purchase a subscription to restore paid access.

Deleting the application, ceasing use, or unsubscribing from marketing does not cancel a subscription.

Refunds

Except where required by law or stated in an offer, charges are non-refundable. We do not provide credits or prorated refunds for partially used periods, unused capacity, failure to use the Service, downgrades, or termination for violating these Terms.

This does not limit mandatory refund, withdrawal, cooling-off, cancellation, or consumer rights.

Account closure

Initiate account deletion through the in-app account settings. Confirmation and identity-verification steps may change, but requests must use an authenticated account or another verified process we provide.

Account closure and subscription cancellation are separate. Cancel through the Stripe customer portal before closing the account unless the deletion workflow confirms billing will also be cancelled.

After closure, access may end immediately. Content may be deleted, anonymized, or retained under the Privacy Policy. Records may remain for billing, tax, fraud prevention, security, disputes, backups, or legal compliance.

Use the Service only lawfully and under these Terms, your plan, and reasonable technical restrictions.

You must not:

• violate law, sanctions, court orders, or another person's rights;
• engage in fraud, market manipulation, insider trading, or unlawful securities activity;
• access accounts, systems, credentials, source code, or data without authorization;
• interfere with security, availability, integrity, or normal operation;
• introduce malicious code or test vulnerabilities without authorization;
• circumvent authentication, usage limits, billing, access, rate limits, or security;
• scrape, redistribute, sell, or create a competing database from protected Service or provider data through unauthorized means;
• reverse engineer non-public code, algorithms, prompts, model logic, or systems except where law permits;
• present any Service output, including AI-assisted content, signals, or analyses, as personalized investment advice, a recommendation, or a guarantee of future performance to any third party;
• submit unlawful, infringing, deceptive, malicious, or unauthorized confidential information; or
• place passwords, private keys, complete card details, brokerage credentials, or government identifiers into general text fields.

Normal use of personal notes, portfolio records, and research materials remains subject to third-party data and licensing restrictions.

StockGeniuses provides informational, educational, research, analytical, and decision-support tools only.

We do not and will not:

• provide personalized financial, investment, legal, tax, or accounting advice;
• determine the suitability of any investment for any user;
• act as a broker-dealer, investment adviser, fiduciary, portfolio manager, or custodian;
• execute, transmit, or facilitate any trade or order;
• guarantee the accuracy, completeness, timeliness, or usefulness of any data, analysis, signal, or AI-assisted output; or
• replace independent research, professional advice, or the user's own judgment.

You alone remain responsible for investment decisions and for verifying information before acting on it. Past performance and hypothetical, illustrative, or model-generated results are not indicative of future results and may contain material errors, omissions, assumptions, or biases.

Nothing in these Terms or the Service creates a fiduciary, advisory, agency, partnership, joint-venture, or employment relationship between you and StockGeniuses. The StockGeniuses Disclaimer is expressly incorporated into these Terms and controls if there is an inconsistency.

"User Content" means information you submit, create, import, or store, including notes, journal entries, theses, risks, invalidation points, watchlists, portfolio information, imported portfolio records, and product feedback.

Ownership and responsibilities

You retain ownership of User Content and are responsible for having the rights needed to provide it. Do not submit unlawful material or another person's confidential, financial, portfolio, identity, or personal information without authority.

Licence to operate the Service

You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, process, transmit, and display User Content only as reasonably necessary to provide, secure, support, maintain, and improve the Service, follow your instructions, and meet legal obligations. It ends when content is deleted, except where retention is permitted by the Privacy Policy or required by law.

The Service may use artificial intelligence, including large language models and other generative systems, to interpret model outputs, summarize context, explain tradeoffs, organize information, or generate text. AI-assisted content is probabilistic and may be incomplete, inaccurate, outdated, inconsistent with underlying data, affected by training-data biases or provider limitations, or fabricated. It may not be independently reviewed by a human before it is displayed.

AI-assisted content does not constitute a verified fact, certainty, personalized advice, recommendation, or buy or sell instruction. Independently review it against underlying evidence, primary sources, and your own analysis before deciding whether or how to use it. To the maximum extent permitted by law, we disclaim warranties regarding its accuracy, reliability, or fitness, and you assume the risk arising from reliance on it.

To the extent permitted by law, we do not claim ownership of rights you may have in output generated specifically for you from User Content. We do not represent that output is copyrightable, unique, or dissimilar from content generated for others.

If you submit ideas, suggestions, evaluations, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, adapt, publish, and incorporate it without compensation or attribution. This does not transfer unrelated User Content or information we expressly agreed in writing to keep confidential.

StockGeniuses and its licensors retain all rights in the Service, including software, interfaces, branding, design, original content, analytical structures, documentation, and databases.

Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for personal research or permitted internal business purposes. This does not permit unauthorized copying, redistribution, resale, sublicensing, or creation of a competing service.

The Service may rely on market-data providers, AI providers, payment processors, hosting and infrastructure providers, security services, and portfolio-connection services. It may link to other services.

Third-party data may be delayed, incomplete, inaccurate, unavailable, revised, or separately licensed. We do not control third-party availability, content, security, or practices.

Connected portfolios and integrations may be governed by provider terms and privacy policies. Coverage and limitations are described on the Data Sources page.

Our collection, use, retention, and disclosure of personal information are described in the StockGeniuses Privacy Policy. Feature-specific notices may also apply.

We may add, change, limit, suspend, or discontinue features to develop and maintain the Service, address security or legal requirements, respond to provider changes, or manage constraints.

Where practical and legally required, we will give reasonable notice when a material change significantly reduces a paid Service. If we permanently discontinue a paid Service during a prepaid period, we will provide any refund, credit, continued access, or other remedy required by law or stated in the notice.

This differs from cancellation, non-renewal, trial expiration, or payment failure. In those cases, the account may remain accessible in a restricted state while paid functions are locked until a new subscription begins.

Suspension or restriction

We may restrict or suspend access to investigate fraud, protect security, prevent harm, enforce these Terms, respond to payment failure, comply with law, or address provider restrictions.

Termination by StockGeniuses

We may terminate for a material or repeated violation, unlawful use, fraud, serious risk, or where continued service is prohibited. Where appropriate, we may provide notice and an opportunity to cure.

Termination by you

You may stop using the Service at any time. Stopping use does not cancel a subscription. Use the cancellation and deletion processes above.

Effect

On termination, your right to use the Service ends. Provisions that should survive remain effective, including ownership, licences, fees owed, third-party restrictions, disclaimers, liability, indemnification, disputes, and general terms.

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without express, implied, or statutory warranties.

We do not warrant that market data, fundamental data, technical indicators, signals, portfolio calculations, model outputs, or AI-assisted explanations are accurate, complete, current, or free from errors, omissions, delays, or third-party revisions.

We do not warrant that any model, simulation, or comparative analysis will produce profitable results or avoid losses, or that the Service is suitable for any particular investment strategy, regulatory filing, official tax reporting, or fiduciary purpose. All such materials are provided solely for informational and educational purposes under the StockGeniuses Disclaimer.

We do not warrant uninterrupted, error-free, secure, or fit-for-purpose operation, investment performance, profitability, loss avoidance, or any particular result. Rights that cannot lawfully be excluded remain unaffected.

To the maximum extent permitted by law, StockGeniuses and its affiliates, officers, directors, employees, contractors, licensors, and providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or loss of profits, revenue, data, goodwill, opportunity, or anticipated savings arising from the Service.

For the avoidance of doubt, this limitation applies to claims arising from investment decisions made in reliance on the Service, including losses resulting from market movements, inaccurate or delayed third-party data, connected services, AI-assisted content, model outputs, signals, interruption, unauthorized access, or the unavailability of any feature, except to the extent such limitation is prohibited by applicable law.

Nothing limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or other liability that law does not permit the parties to exclude or limit.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless StockGeniuses and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable costs arising from unlawful use, a material violation of these Terms, User Content, or infringement of another person's rights. This does not apply to the extent a claim results from our unlawful conduct, negligence, or breach.

Before formal proceedings, both parties agree to make a reasonable good-faith effort to resolve disputes informally. The party raising the dispute shall send a written notice describing the dispute, the relevant account, and the requested resolution to info@stockgeniuses.com. The parties shall then allow 30 calendar days from receipt of the notice to attempt resolution, unless urgent relief is required or applicable law permits otherwise.

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between the parties shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Subject to any non-waivable rights available to consumers under the mandatory laws of their place of residence, the parties consent to the jurisdiction of the state and federal courts located in Wyoming.

We may update these Terms from time to time to reflect changes in the Service, applicable law, regulatory requirements, or our business practices. The effective date identifies the current version.

We will give reasonable notice of material changes through the Service, by email, or another appropriate channel. Where affirmative consent is required, changes do not take effect until consent is obtained. Continued use after a properly notified change constitutes acceptance only to the extent permitted by law.

Entire agreement and precedence

These Terms, the Privacy Policy, Disclaimer, checkout terms, and feature-specific terms form the agreement concerning the Service. More specific terms govern their relevant feature or transaction when they conflict.

Assignment

You may not assign these Terms without written consent. We may assign them in a merger, acquisition, reorganization, asset sale, or transfer of the Service, subject to law.

Severability, waiver, and force majeure

If a provision is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, it will be limited or removed as necessary and the remainder stays effective. Failure to enforce is not a waiver. We are not responsible for delay or failure caused by events beyond reasonable control, subject to law.

Electronic communications and notices

You consent to contractual and operational communications by email and in-product notice and must keep your email current. Marketing communications remain subject to consent and unsubscribe rules.

Relationship and interpretation

These Terms do not create an agency, employment, partnership, joint venture, fiduciary, brokerage, or investment-advisory relationship between you and StockGeniuses. Headings are for convenience. No translation overrides rights required by law.
